Highly discreet information intercepted from BCM International based in Jordan has allegedly implicated NDC MP for Bawku Central Hon. Lawyer Mahama Ayariga over the use of some falsified documents with the intention to deceive and defraud.
According to the facts from portions of the documents, Hon. Mahama Ayariga fraudulently obtained a Power of Attorney (POA) issued by a Notary Public of the United Kingdom (Britain) on 15/05/2023 and succeeded in removing one of the Directors from representing BCM International Limited, a foreign company operating in Jordan.
BCM International is duly registered in Jordan at the Companies Control Department (No. 971).
Below is the copy of the fake Power of Attorney Hon. Mahama Ayariga secured.
Further, through this POA, Mr. Ayariga managed to appoint himself illegally and fraudulently as a representative of BCM International Limited.
The company has since vowed to pursue him in court for such illegal business and fraud.
According to BCM International, the procedures carried out by Mahama Ayariga are illegal and fraudulent since he obtained the POA illegally.
Hon. Mahama Ayariga when contacted by AMAGHANA ONLINE read all WhatsApp messages but refused to respond for over one month now.
Below are further facts setting the records right:
According to the last valid certificate of incumbency of BCM International Limited in Nevis, the representatives of the company include two key directors based in Ghana currently.
One Director had submitted her offer to resign, but he did not indicate that the resignation was null and void as he had subsequently rejected the resignation and Ms. Angela List had continued to act in her full capacity.
An accomplice, Mr. Michael Cooke allegedly assaulted Mr. Jonathan Adongo, the company secretary of BCM International, using aggressive force.
They were able to steal the Company’s documents and a set of documents proving that the Director does not own more than 35% of the shares of BCM International, and that 40% of shares that had to be registered for the children of two of the Directors, through the company Notre Dame Investment Ltd held 25% of the shares.
A lawsuit has been filed in this regard.
One Director forged minutes of a meeting that was never convened nor held, through which he managed to remove another substantive Director from managing the Company and appointed a person called Michael Cooke as director of BCM International Ltd as per these minutes.
A complaint was filed at the courts of Nevis and Saint Kitts on the forgery issue regarding these minutes. Please find attached a copy of the Complaint.
It is important to note that the said Michael Cook is a criminal who has been charged with fraud by the Ghana Police Service.
As a person with a criminal record and by the rules of Nevis, Michael Cooke is not allowed to be appointed and or act as a Director of any company.
An undertaking was given by Counsel for one of the directors on his behalf that the certificate of incumbency issued by Morning Star Holdings Company Limited (hereinafter referred to as Morning Star) based on the forged meeting minutes would not be used for any purpose until the lawsuits are adjudicated.
However, in complete disregard for this judgment, one Director and Michael Cooke have used this certificate to appoint themselves as representatives and now Mahama Ayariga, who ought to know better, has joined in the fraudulent dealings for his own personal gains.
The person called Michael Cooke, who is illegally appointed as a director as per this certificate, used the registration certificate issued by Morning Star, despite the judicial judgment which ruled to prevent using that certificate and despite his knowledge of that judgment.
Nevertheless, he used this certificate twice: The first time, he organized a Power of Attorney for lawyer Dahoud Arab.
The second time, he organized a Power of Attorney for the person called Mahama Ayariga on 15/5/2023.
The person called Mahama Ayariga appointed himself as a representative of BCM International Company registered at the Companies Control Department (No. 971), instead of the other true company Director.
